Nominee Directors: Rights and Responsibilities

Mark R. T. AdkinsKathleen Keilty and Matthew Merkley

Blake Cassels & Graydon LLP

20160927090514It is common for shareholders of both public and private companies to nominate directors to sit on the companies’ boards on their behalf. This commonly occurs when an investor is an institution, when it has the contractual rights to control one or more board seats, or when an investor wishes to appoint an employee or an individual with particular experience to the board.

These “nominee directors”, however, often find themselves conflicted. While the nominating shareholder will naturally expect its nominee director to demonstrate loyalty and advocate on the shareholder’s behalf, the nominee director owes specific legal duties to the corporation that are founded upon good faith, candor, confidentiality and the best interests of the corporation. What The Latest Global DDoS Attack Means For Entrepreneurs

It’s funny how easy it is to take things, such as the ability to quickly and easily access the internet, for granted. Many of us were reminded of that on Friday when a massive DDoS (distributed denial of service) attack took down major swaths of the internet, including Twitter, Paypal, Github, and many others.
At this point, it appears as though the DDoS attack focused on a single point of failure; the DNS provider Dyn. In short, Dyn provides the service that points a web URL (such as www.forbes.com) to the appropriate IP address and content. Dyn was flooded with traffic that was designed to tax their services (such as their API) to their limits.
Traffic from several million IP addresses was sent in at least three massive waves, overwhelming Dyn’s system and causing it to go down. When that happened, web browsers were no longer able to connect web addresses to their respective websites, thus prohibiting users from accessing their desired services.

The Benefits of Being a U.S. Virgin Islands Tax Exempt Company

By Steven K. Hardy on October 14, 2016, Posted in Tax & Estate Planning

exemptFor the most part, even though the U.S. Virgin Islands is not a state, most U.S. federal laws apply in the Territory. This includes federal tax law. However, that law is not governed by the Internal Revenue Service. Instead, a separate local tax code called the “mirror system” exists, and it is administered instead by the U.S. Virgin Islands Bureau of Internal Revenue (BIR).

The U.S. Virgin Islands has had authority from Congress for more than 50 years to allow for tax-exempt companies within the territory. Here are just a few of the most significant benefits of such a structure: Continue reading The Benefits of Being a U.S. Virgin Islands Tax Exempt Company

The Future of Business Belongs To The ‘Small Giants’

 CONTRIBUTOR

It seems as though you can’t turn on the television or pick up a magazine without coming across a politician or pundit extolling the virtues of small business and the role it plays in the U.S. economy.
In fact, Forbes is currently on the lookout for some of these amazing “small giants.”
It’s easy to see why small business is such a popular topic of conversation. As of today there are about 30 million small businesses in the U.S., 6 million of which actually have employees. These businesses account for over 50% of total U.S. GDP and 75% of the net new jobs in the U.S.
